Manpower & Logistics Services
DK Services provides business-to-business and business-to-consumer staffing solutions and logistics coordination. While we make every effort to display accurate service descriptions, operating specifications, candidate roles, and logistics availability, we do not warrant that all content on the website is completely current or error-free.
Staffing & Placement Services:We act as a staffing intermediary matching job seekers with employer-clients. The availability of placements, job postings, and candidates changes dynamically. Displaying a job opening or candidate category on our website does not guarantee an immediate placement or employment match. All placements are governed by direct written service contracts specifying candidate qualifications, screening details, and bill rates.
Logistics & Transportation Services:We coordinate cargo logistics, warehousing, dispatching, and shipping. Any transit estimates, route options, truck capacities, or scheduling details shown on the website or tracking portals are estimates only and subject to change due to traffic conditions, weather delays, border inspections (CBSA), customs clearance, and equipment capacity. DK Services is not liable for transport delays or delivery constraints caused by factors outside our reasonable control.
We reserve the right, at our sole discretion and without prior notice, to:
- Add, modify, or discontinue any manpower staffing categories, logistics routing, carrier lists, or online tracking tools.

Quotes, Billing Rates & Service Contracts
Commercial pricing for manpower staffing (including placement fees, permanent recruitment commissions, and temporary worker hourly billing rates) and logistics carriage (freight rates, mileage charges, fuel surcharges, accessorial fees, and warehouse storage costs) is provided via custom quotations based on specific project scopes.
Any pricing guidelines or estimations displayed on the website are strictly for general reference. Binding rates are only formed when a formal quote or rate sheet is issued in writing by an authorized representative of DK Services and signed by the client.
Unless otherwise specified in writing, all quoted rates exclude applicable Canadian taxes (such as GST, HST, and QST/TVQ), customs brokerage fees, border duties, parking/toll fees, and cargo insurance premiums.
We reserve the right to:
- Adjust staffing billing rates in response to changes in statutory minimum wages, employer payroll tax obligations (EI, CPP, QPIP, CNESST, CSST), or provincial employment regulations.
- Update logistics carriage rates and fuel surcharges based on market fuel cost fluctuations, transport capacity changes, or routing difficulty.
- Revoke or renegotiate quotes if the client's job requirements, candidate profiles, cargo weight, volume, or handling hazards differ from the initial specifications provided.
Bookings, Orders & Commercial Payments
Submitting a staffing request, job application, transport request, or freight quote inquiry through our website does not form a binding contract. A binding contract is only established once:
- For Manpower: A formal Client Staffing Agreement or Placement Agreement has been executed in writing by both parties.
- For Logistics: A Bill of Lading, Cargo Carriage Order, or Dispatch Confirmation has been accepted in writing by DK Services and scheduled for transport.
Clients and shippers are solely responsible for ensuring that all data submitted (including timesheet verifications, employee job site hazard assessments, cargo dimensions, shipping classifications, hazardous materials disclosures, and delivery addresses) is accurate, complete, and authorized. DK Services is not liable for recruitment delays, employee absences, freight damage, customs delays, or extra shipping charges resulting from inaccurate client data.
All invoices must be paid in Canadian Dollars (CAD) in accordance with the payment terms, direct deposit timelines, or credit terms outlined in the commercial contract. If payment is delayed or defaulted, DK Services reserves the right to withdraw temporary workers from the client's job site, pause active cargo shipments in transit, hold freight in storage, or cancel pending bookings.
Refunds, placement replacements, and cancellations are governed by the specific terms in the commercial service contract. Custom background screening fees, cargo transportation costs, and warehouse handling fees are generally non-refundable once the service has commenced.
Intellectual Property
All content on the DK Services website—including text, website design, graphics, custom logos, branding, candidate portal layout, dispatching databases, coding scripts, downloadable job description templates, and pricing calculators (collectively, the "Content")—is the exclusive property of DK Services, its licensors, or carriers, and is protected by Canadian and international copyright, trademark, and intellectual property laws.
Your use of the website grants you a limited, non-exclusive, non-transferable, and revocable license to access and view the Content for your personal job search or corporate hiring and logistics coordination.

You acknowledge that you are responsible for any materials, resumes, or consignment profiles you submit. DK Services reserves the right to suspend or block users who submit fraudulent applications, engage in driver safety violations, default on payments, or violate these Terms.

Limitation of Liability
To the maximum extent permitted under applicable Canadian law, DK Services, its directors, officers, employees, agents, carriers, and subcontractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the website or our services.
Without limiting the generality of the foregoing, we shall not be responsible for:
- Loss of business profits, warehouse production downtime, manufacturing delays, or commercial revenues resulting from temporary worker absences, labor shortages, or staffing mismatches.
- Freight loss, cargo damage, spoilage, or transit delays, except as governed by standard Canadian carriage regulations and bills of lading. The liability of DK Services for cargo loss is strictly capped at the standard carrier limits (such as provincial Carriage of Goods acts, typically limiting liability to $2.00 per pound of lost/damaged cargo, unless a higher declared cargo value is agreed upon in writing and additional insurance is paid).
- Business losses resulting from traffic jams, road closures, winter weather delays, customs inspections by the CBSA, port bottlenecks, or force majeure occurrences.
- Unauthorized access to your recruitment profile or logistics tracking portal due to weak password management or phishing.
In all circumstances, our maximum aggregate liability for any claims relating to these Terms or our services shall not exceed the actual fees paid by you to DK Services for the specific staffing assignment or freight booking that is the subject of the dispute.
Indemnification
You agree to defend, indemnify, and hold harmless DK Services, its parent entity, affiliates, directors, officers, employees, carriers, and subcontractors from and against any and all claims, damages, liabilities, losses, administrative fines, and legal expenses (including reasonable attorney fees) arising from:
- Your violation of these Terms and Conditions or any signed service agreement.
- Any fraudulent details, resume falsifications, or safety misrepresentations submitted by you.
- Your failure to disclose workplace hazards, resulting in injury to temporary workers placed at your facilities.
- Your failure to comply with Canadian transportation standards, such as shipping undeclared hazardous goods or violating the Transport of Dangerous Goods (TDG) guidelines.
- Your infringement of the intellectual property, privacy, or employment rights of any candidates, clients, or third parties.
DK Services reserves the right to assume the exclusive defense and control of any claim subject to indemnification by you, and you agree to cooperate fully with our legal counsel in defending such matters.
Governing Law & Jurisdiction
These Terms and Conditions, your access to the website, and any disputes arising out of your relationship with DK Services shall be governed by, interpreted, and construed in accordance with the laws of the **Province of Quebec** and the federal laws of Canada applicable therein, without regard to conflict of law principles.
